Guidelines for Using Marks and Branding Assets

The Marks and Branding Assets (collectively, the “Marks” or, singularly, a “Mark”) of Clairvoyant Networks, Inc. (“Clairvoyant”) — including Clairvoyant Network trademarks, service marks, logos, icons, designs, trade dress, fonts, names of products or services, sounds, emojis, or any other brand features and elements, whether registered or unregistered — are proprietary assets owned exclusively by Clairvoyant. These Guidelines, which may be updated from time to time, detail how the Marks can be used under specific circumstances.

If you have the legal right to use any of the Marks, these Guidelines further define your rights to use the Marks. If you have a license to use any of the Marks and have been provided with special terms with that license, follow those requirements in addition to these Guidelines. In the event there is a conflict between the terms of your license and these Guidelines, the terms of your license will supersede any conflicting term in this document.  Otherwise, the terms of these Guidelines should be followed.

Any use of a Mark must first be reviewed and approved by the Clairvoyant brand team. For further information with respect to the Marks, please submit your request in writing to the Marketing Team.

Use of the Marks
1.     You must have specific permission or a defined right prior to using a Mark.

2.     Theora® and other Marks should have a trademark symbol the first time they appear in a creative.

3.     Any use of the Theora name or a Mark needs to include the appropriate attribution in your communication:

“Theora is a registered trademark of Clairvoyant Networks, Inc.”

“_________ and _______ are trademarks of Clairvoyant Networks, Inc.”

4.     Avoid creating confusion as to the source and sponsorship of an item and ensure that your own brand assets are displayed more prominently than the Marks.

5.     Always spell and capitalize a Mark exactly as shown in the Clairvoyant Trademark List. Do not shorten or abbreviate any of the Marks.

6.     Clairvoyant Marks may not be altered to a plural or possessive form. Theora is never plural or possessive.

Correct: I bought two Theora® wearables.

Not Correct: I bought two Theoras.

7.     The Marks may not be used as part of the name of a product or service offered by you or as part of a descriptive phrase that identifies a product or service offered by you.

8.     Only use unaltered product or service names.

Correct: “Theora Connect™ is a leading wearable”.

Not Correct: “Theora wearable Connects.”

9.     The Marks may be used in a referential phrase such as “runs on,” “for use with,” “for,” or “compatible with”, if your product and service is compatible with a Theora product or service.

10.  When using of a Mark outside the United States, do not include a US-specific trademark symbol. Instead use the appropriate trademark attribution notice, for example: Theora is a trademark of Clairvoyant Networks Inc., registered in the U.S.

11.  Be truthful and accurate in referring to the Marks and Clairvoyant’s services.

12.  Any use must reflect favorably on both Clairvoyant and Theora products or services.

Prohibited Use of the Marks
1.     You may not use the Theora trademark standing alone except to denote or refer to the Clairvoyant products or services.

2.     You may not use or register a Mark, in whole or in part, as part of a company name, trade name, product name, or service name.

3.     You may not use the Mark in connection with web sites, products, packaging, manuals, promotional/advertising materials, or for any other purpose except pursuant to a written license from Clairvoyant, such as a reseller agreement.

4.     You may not use an image, variation, phonetic equivalent, foreign language equivalent, takeoff, or abbreviation of a Mark for any purpose. For example:

Not acceptable:   Theora Konnect, Quick Alert, Theora Kare

5.     You may not use a Mark in a way that disparages Clairvoyant, or its products or services.

6.     You may not use a Mark, in a manner that would imply Clairvoyant’s affiliation with or endorsement, sponsorship, or support of a third-party product or service.

7.     You may not manufacture, sell or give-away merchandise items, such as swag, T-shirts or mugs, bearing a Mark.

8.     You may not use or imitate a Clairvoyant slogan or tagline.

For example: “As if you were there.”

9.     You may not use an identical or virtually identical Mark as part of a domain name.

Not acceptable:    clalrvoyanttheora.com, theora.com
